By accessing and using the services provided by EL-IN-AR LLC ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our services.
EL-IN-AR LLC provides custom software development, web application development, mobile application development, API development, cloud solutions, and technology consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
Clients are responsible for providing accurate and complete information necessary for the execution of projects. You agree to cooperate with our team and provide timely feedback and approvals as required. Failure to provide necessary information or delays in feedback may impact project timelines and deliverables.
Upon full payment for services, all custom-developed code, designs, and deliverables become the property of the client, subject to any third-party licenses or open-source components used. We retain the right to use general knowledge, skills, and experience gained during the project for other projects. Any pre-existing intellectual property of either party remains the property of the original owner.
Payment terms will be specified in individual project agreements. Generally, payments are due according to the agreed schedule, typically including an initial deposit and milestone-based payments. Late payments may result in project delays or suspension of services. All fees are non-refundable unless otherwise specified in writing.
We strive to meet all project deadlines as specified in project agreements. However, timelines are estimates and may be affected by factors beyond our control, including client delays, scope changes, or technical challenges. We will communicate any significant timeline changes promptly.
Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. We will not disclose client information to third parties without consent, except as required by law. This obligation continues after the completion or termination of services.
We warrant that our services will be performed in a professional and workmanlike manner. However, we make no warranties regarding the uninterrupted or error-free operation of software, as software may be affected by factors beyond our control. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We are not liable for any loss of data, profits, or business opportunities resulting from the use or inability to use our services.
Either party may terminate a project agreement with written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. We reserve the right to terminate services immediately in case of non-payment or breach of these terms.
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to clients. Continued use of our services after changes constitutes acceptance of the modified terms.
These Terms of Service shall be governed by and construed in accordance with the laws of Armenia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Yerevan, Armenia.
